PromptForge is a software-as-a-service platform providing production-grade AI prompt workflows, templates, and related tools. The service is owned and operated by ECWE Ventures LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of PromptForge at promptforge.dev and any associated services.
You must be at least 18 years old and capable of entering into a binding contract to use PromptForge. By using the service, you represent and warrant that you meet these requirements. If you are using PromptForge on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
PromptForge is offered on a recurring subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan (monthly or annual).
You may cancel your subscription at any time through your account settings or by contacting us at hello@promptforge.dev. Cancellation takes effect at the end of the current billing period. You will retain access to the service until that date. We do not prorate or refund unused portions of a billing period except as described in our Refund Policy.
Our IP: PromptForge, including its platform, codebase, system-generated templates, pre-built prompt libraries, design, and all associated intellectual property, is owned exclusively by ECWE Ventures LLC. You receive a limited, non-exclusive, non-transferable license to use the service during your active subscription. No ownership rights are transferred.
Your IP: Prompts, workflows, and content you create within PromptForge remain your intellectual property. You grant ECWE Ventures LLC a limited license to store, process, and display your content solely as necessary to operate and provide the service. We do not claim ownership over your user-created prompts or workflows.
Restrictions: You may not copy, modify, distribute, reverse-engineer, or create derivative works from the PromptForge platform, its templates, or underlying systems without our express written consent.

PromptForge integrates with or relies on third-party services including Stripe (payment processing), Cloudflare (infrastructure and security), and AI model providers. Your use of those services is subject to their respective terms and policies. We are not responsible for the practices or availability of third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ECWE VENTURES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECWE VENTURES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless ECWE Ventures LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property rights.
We reserve the right to modify or discontinue any part of the service at any time. We will provide reasonable notice of material changes to these Terms via email or a notice within the platform. Your continued use of the service after the effective date of changes constitutes your acceptance of the revised Terms.
We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the service ceases immediately. You may export your user-created content within 30 days of termination by contacting hello@promptforge.dev.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ECWE Ventures LLC regarding your use of PromptForge and supersede all prior agreements. If any provision of these Terms is held invalid, the remaining provisions remain in full effect.
